# MrPark – Parking Partner Legal Disclaimer, Guardrails & Terms of Service Addendum

> **Applicability:** All Parking Space Owners, Landlords, Property Managers, and Commercial Parking Operators (“Partners” or “Hosts”) utilizing the MrPark platform and mobile applications.

## 1. Platform Role & Intermediary Disclaimer

### 1.1 Nature of the Service

**MrPark** (including its mobile applications, website, services, and parent entity, collectively referred to as “MrPark”, “Platform”, “we”, “us”, or “our”) operates strictly and solely as an **independent technology and marketplace intermediary**. 

MrPark provides an online platform that enables:

* Private property owners, landlords, and authorized commercial parking operators (“Partners”) to list parking spaces and manage availability; and

* Registered vehicle drivers (“Drivers” or “Users”) to discover, reserve, and pay for parking slots.

The sole purpose of MrPark is to facilitate connections and digital bookings between Partners and Drivers to assist Partners in generating an additional stream of income.

### 1.2 Independent Contractor & Non-Agency Relationship

* MrPark is **not** a parking facility operator, parking attendant, bailor, motor vehicle custodian, valet service, or property manager.

* MrPark does **not** own, lease, manage, supervise, staff, maintain, control, or inspect any parking facility, stall, lot, driveway, or garage listed on the Platform.

* Nothing in this Agreement or on the Platform creates an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between MrPark and any Partner.

## 2. Mandatory Partner Guardrails & Declarations

Before publishing or offering any parking space on MrPark, every Partner must explicitly agree to, represent, and warrant the following mandatory guardrails:

### 2.1 Security Assurance & Safety Measures

The Partner represents and warrants that the listed parking space is equipped with adequate and functional security measures to safeguard parked vehicles, drivers, and property. Such security measures must include at least one or more of the following:

* Functional Closed-Circuit Television (CCTV) surveillance covering the parking spaces and access points;

* Stationed or patrolling security personnel;

* An active, dedicated on-site parking attendant; or

* Secure gated access or barrier controls.

The Partner is solely responsible for maintaining and operating all security equipment, lighting, surveillance, and personnel at the premises.

### 2.2 Disclaimer of Liability for Loss, Theft, or Damage

* **No Custody or Bailment:** MrPark does not assume care, custody, or control of any vehicle, its contents, or any personal property parked at a Partner’s facility. No contract of bailment is created between MrPark and any Driver or Partner.

* **Complete Non-Liability:** To the maximum extent permitted by applicable law, MrPark shall **not** be held liable, accountable, or responsible for:

  1. Any physical damage, scratch, dent, collision, fire, flood, act of God, or mechanical breakdown affecting any vehicle;

  2. Any loss, theft, burglary, robbery, or vandalism of any vehicle, bicycle, motorcycle, equipment, or personal property left inside or near a vehicle;

  3. Any personal injury, bodily harm, illness, slips, trips, falls, or death occurring on or near the parking premises;

  4. Any unauthorized entry, illegal acts, or disputes arising between drivers, visitors, attendants, or third parties on the premises.

### 2.3 Comprehensive Lawsuit & Legal Claim Waiver

* The Partner acknowledges and agrees that **MrPark will not be held responsible or liable for any lawsuit, arbitration, legal proceeding, administrative claim, regulatory fine, penalty, or dispute** that may occur between:

  * Partner and any Driver;

  * Partner and any neighboring property owner, condominium corporation, homeowner association (HOA), or local government authority;

  * Partner and any third party or insurer.

* The Partner waives any and all rights to initiate, join, or participate in any lawsuit, class action, or legal claim against MrPark seeking damages or indemnity resulting from incidents occurring at or in connection with the listed parking facility.

### 2.4 Ownership, Authority, and Compliance with Laws

The Partner explicitly certifies that:

* They are the legal owner of the property, or possess written, valid, and enforceable authorization from the property owner, building administration, condominium corporation, or leasing authority to list the space on MrPark;

* The use of the space for paid parking does not violate any local zoning regulations, condominium by-laws, building rules, deed restrictions, or municipal permits;

* They assume full responsibility for all taxes, municipal fees, or licenses required for receiving parking revenue in their jurisdiction.

## 3. Indemnification Clause

The Partner agrees to **defend, indemnify, and hold harmless** MrPark, its parent company, subsidiaries, affiliates, officers, directors, shareholders, employees, representatives, software developers, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, judgments, fines, and legal fees (including attorney’s fees and court expenses) arising out of or in any way connected with:

1. The Partner’s listing, operation, maintenance, condition, or management of the parking space;

2. Any vehicle damage, theft, personal injury, accident, or property loss occurring at or near the parking premises;

3. Any breach by the Partner of these terms, declarations, or applicable laws, regulations, or local ordinances;

4. Any misrepresentation, falsehood, or inaccuracy regarding parking capacity, rates, security features, hours of operation, or ownership authority;

5. Any dispute, altercation, or transaction between the Partner and any Driver or third party.

## 4. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall MrPark be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages—including, without limitation, lost profits, lost revenues, loss of business opportunity, loss of data, property damage, vehicle damage, or personal injury—arising out of or in connection with the use of the platform, even if MrPark has been advised of the possibility of such damages.

In all cases where liability cannot be entirely excluded by law, MrPark’s total aggregate liability to any Partner for all claims arising out of or relating to the service or this Agreement shall not exceed the total platform commission fees actually retained by MrPark from bookings at the Partner’s specific parking space during the three (3) months immediately preceding the event giving rise to the claim.

Hosts bear sole responsibility for the safety, accessibility, and condition of their facilities.

3. **Loss, Damage, and Theft Disclaimer**: MrPark shall not be held liable under any circumstance for any theft, damage, burglary, vandalism, collision, natural disaster impact, or loss of any vehicle or personal property located at any listed parking facility. All parking is undertaken at the vehicle owner’s and Host’s sole risk.

4. **Waiver of Lawsuits & Claims**: Hosts acknowledge that MrPark provides software services only to facilitate booking discovery and payment collection. Hosts agree that MrPark is exempt and immune from any lawsuit, dispute, settlement, or administrative action arising from physical incidents, vehicle damage, driver interactions, or property disputes on the Host’s premises.

5. **Indemnification**: Hosts agree to fully indemnify, defend, and hold harmless MrPark, its directors, employees, and agents against any claims, losses, damages, liabilities, or legal expenses arising from their parking space, listings, property conditions, or disputes with drivers or regulatory authorities.
